Shareholders to vote on merger

In filings with the SEC this morning, both SatRad companies announced they will holding shareholder votes on the merger on Nov. 13th

  3. Must be a done deal, they just can't talk about it yet. I don't think they would go to all the expense voting and sending out proxy materials if that wasn't the case.
  4. From what I've read, the shareholder vote was supposed to come within a few weeks of the FCC announcement. Sounds like this might be close to being done.

    I won't swear but I don't think that's true. I think the vote tends to be tied in close proximity to an announcement but I don't think they know anything yet. In fact, I would say that that would open a LOT of people up to insider trading charges if that were to be the case.

    I think it is like RR said, they are just confident, but do they know for sure? Of course not, that would indeed be illegal insider info.
  8. I think this is one way that businesses can put pressure on the regulatory agencies to act. They have done all the PR, think they can get the shareholder votes, and so getting it approved will make the agencies the holdup.

    I will vote yes.
  9. I disagree, I can't prove it of course, but I think some kind of mutual arrangement has been hammered out. After all, they have been in extended communication for a long time now. It does put pressure on to act, but I have to think something has been worked out for the benefit of all the parties involved.

    IMNSHO, there's fat chance something has been "hammered out" with the DOJ and FCC, if that's what you mean. They'd have released info to that effect, i.e. their in negotiations with XM and SIRI.

    I can't prove it either, but my sense is that we'd hear yelling and screaming from all over DC about it. It isn't quite known as the city of secrets, and with so much focus on this deal from so many disparate parties, I'd think someone would have leaked something. At best, the FCC and DOJ may come back and say "sure XM and Sirius you can merge...which one of the two licenses are you going to forfeit."

    Hey, it's all speculation, and oh my will this board be alive when the decisions are made public, one way or the other!

    True, much like so many of the other decisions both of the company's have made that got them to the state they're currently in (and I don't mean DC and NY )

  13. Those links are old news. That guy Sidak has already been refuted. His argument is outdated also. Does make good use of his portion of the NAB's $4mil. in lobby money though.

    Okey-dokey. So old news can't be read? And whatever Sirius and XM say cannot be refuted, and it's OK for them to hire lobbying firms and recently PR firms and spend money to spin their position. All-righty. I get it, Sirius and XM deserve special treatment. They are above and beyond the anti-trust laws too, so some would have you believe (Mel). Well, I guess we'll see.   15. Geez, will these desparate phoney arguments never end. Good publicity for another blog I never heard of, though. I wish the FCC would rule already. People are making way too much of this merger, and it simply proves the case for approval even more. Millions of people like satellite radio and want it to prosper, and do well.

    Then there'd only be ONE sattelite competitor as opposed to two....
    I just dont get them sometimes.
    Whatever the case maybe ,they get NO from me,sirius is much better alone.
    Why?We, as subscribers dont get anything out of the deal,theres no free xm channels,so its not in my best interest.I am a shareholder..
  17. Look, satellite radio would take a giant leap forward with this merger, period. That's why the terrestrial radio monopoly is so dead set against it. Satellite radio also competes with itunes, mp3's, wireless internet, etc. It is also doing it effectively; goring many oxes in the process. Radio is a unique medium, and a privately owned, subscription driven radio company, that also has the luxury of free speech, is even more appealing the the public.

    Yes, my XM and SIRI proxy came electronically and I voted the same way. Snail mail recipients are getting theirs now.
